Antis Triantafyllides & Sons LLC advises EDEX-Educational Excellence Corporation Ltd on the sale of shares to one of the largest private health care group in Greece  
Antis Triantafyllides & Sons LLC has provided general corporate advice to EDEX-Educational Excellence Corporation Ltd with respect to the sale of shares of minority shareholders to a new investor. Our firm provided advice on the transaction, from the company’s perspective, including advising on the procedure pursuant to the articles of association and we have reviewed the relevant agreements entered into place.

The new investor belongs to one of the largest private health care group in Greece, Hellenic Healthcare Holdings Ltd, which owns and operates a number of private hospitals and other healthcare undertakings in Greece and in Cyprus. 

We advised the board of directors on the proposed joint venture to be implemented, the appropriate structure to be adopted, the collaboration agreement between the parties and we have examined matters concerning competition law in relation to the joint venture to be set in Greece and in Cyprus as part of the operations of both the client and the proposed investor. 

Our managing partner, Stelios Triantafyllides, was heavily involved and in deep discussions on the set up and implementation of the aforementioned project including, inter alia, advice on the corporate arrangements to be put in place and matters concerning the reorganisation of the client’s group prior to the transaction and the drafting of the relevant agreements.

Our firm also assisted with the drafting and filing of the relevant notification with the Commission for the Protection of Competition in Cyprus.
