Antis Triantafyllides & Sons LLC advises on the sale of shares in Hellenic Bank for approx. EUR 493 million
Antis Triantafyllides & Sons LLC advised on two transactions with an aggregate amount of approximately EUR 493 million relating to the sale of stakes in Hellenic Bank Public Company Ltd (“Hellenic Bank”), the second largest bank in Cyprus. Specifically, our firm advised each of Logicom Serviced Ltd (“Logicom”) (a wholly-owned subsidiary of Logicom Plc, a company listed on the Cyprus Stock Exchange) and Demetra Holdings Plc (a public company also listed on the Cyprus Stock Exchange) (“Demetra”) with respect to the sale of their shareholdings in Hellenic Bank – amounting to 3.32% and 21.33% respectively – to the Greek Bank Eurobank S.A., for a sale price of circa EUR 66.5 million and circa EUR 426.5 million respectively.
Our firm acted as lead counsel to both Logicom and Demetra with respect to the transactions, including the negotiation and drafting of all legal documentation (such as share and purchase agreements, framework agreements and escrow agreements) and advised on all relevant regulatory issues.
