All companies incorporated or registered under the Cyprus Companies Law (Cap. 113), all European Public Limited Liability Companies (SEs) and all partnerships are reminded of their obligation to complete their annual confirmation of their beneficial owners (BOs) in the Cyprus Register of Beneficial Owners (the “BO Register”), between 1 October 2025 and 31 December 2025. This obligation applies even if no changes have occurred since the last BO Register filing.
In case where any change or initial filing takes place during the confirmation period, then such change or initial filing must be submitted first, followed by the confirmation by 31 December 2025. If a change occurs after the confirmation has been submitted, no further action is required.
Failure to comply with the above-mentioned obligation will result in the following automatic administrative fines:
• €100 for the first day of delay, plus
• €50 for each additional day that the delay continues, up to a maximum of €5,000.
These fines apply irrespective of any potential criminal liability. In addition, the Cyprus Registrar of Companies is empowered to strike off any entities that refuse, omit, or neglect to fulfil their obligations.
